As a registered attendee or participant (“you”) of the International Factoring Association's Factoring Conference (the “Conference”) you agree to these terms and conditions (collectively, this “Agreement”) with the International Factoring Association (“IFA”).

By participating in the Conference you consent to being filmed, taped, interviewed, photographed, and recorded (the "Recordings”) during and in connection with the Conference by IFA, its vendors, partners, affiliates and/or representatives (the "IFA Parties”). You also agree that the IFA Parties may use, publish, edit, incorporate and otherwise exploit (and to authorize others to do the same) any Recordings (including your name, voice, image, likeness, personality, situations and Conferences) as they deem fit to use them, including in connection with any promotional purposes, telecasts, advertising, exhibition, streaming, webcasting, reproduction or other publication of these materials by and through any and all media regardless of the purpose of such promotional purposes, telecasts, advertising, exhibition, streaming, webcasting, reproduction or other publication (collectively, the ‘Uses’).

You also release the IFA Parties, their employees, and each and all persons involved with the Conference from (i) any and all liability connected with the Recordings and the Uses, and (ii) any and all claims that you have or may have for infringement of proprietary rights, invasion of privacy, violation of the right of publicity, defamation or any other cause of action you have or may have arising from or in connection with the foregoing. By entering the Conference premises, you waive all rights you may have to any claims for payment or royalties in connection with any Recordings and Uses irrespective of whether a fee for admission or sponsorship is charged. You also waive any right to inspect or approve any Recordings and Uses.

In addition, the Conference will be monitored for unauthorized recording. By attending the Conference or entering the Conference premises, you agree not to record or digitize any parts of the presentations. If you attempt to use a recording device, you consent to your immediate removal from the Conference premises and forfeiture of such recording device.

Privacy Policy
By participating in the Conference, attendees consent to the colleciton, processing and use of their personal date for event-related purposes, including but not limited to, networking, event communications, and marketing activities. This data may be shared with authorized third-party service providers, such as event management platforms and networking applications, solely for the purpose fo enhancing the event experience.

The IFA is committed to protecting the privacy of its attendees and participants. We shall use information you provide to us to send important event information. We will also send communications to the attendee email address provided about our other similar products and services. All delegates may unsubscribe to these communications at any time. Attendee names and contact information will be confidentially published to Exhibitors and Sponsors so that they can better interact with attendees at the Conference and enhance the Conference experience. An attendee can contact us at any time to not be included on this list by emailing conference2025@factoring.org.

Professional Conduct
The registrant agrees to conduct his/herself in a cordial manner. IFA will not tolerate any registrant who creates a disturbance; is disrespectful to any other registrant, any member of IFA, its speakers and attendees, exhibitors, volunteers or staff. IFA reserves the right, in its sole discretion, to investigate any complaint and to dismiss any registrant found by IFA, in its sole discretion, to have violated the Code of Professional Conduct, without refund of registration fees.

Prohibited Conduct

By registering, you agree not to share, transfer, sell or trade your badge. If you violate this policy, the IFA may cancel your attendance and retain any payments.

You may not record audio or video of sessions at the Conference. The IFA allows cameras on the show floor. You may take pictures within the show for purposes of company or annual reports, company media pieces, marketing materials, etc.

Intellectual Property
All intellectual property rights in and to the Conference, the Conference content, and all materials distributed at or in connection with the Conference are owned by The IFA or the Conference sponsors or speakers at the Conference. You may not use or reproduce or allow anyone to use or reproduce any trademarks (including without limitation “The IFA”) or other trade names appearing at the Conference, in any Conference content or in any materials distributed at or in connection with the Conference for any reason without the prior written permission of the IFA. For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by The IFA; nor does this Agreement grant to you any right or license to any other intellectual property rights of The IFA, all of which shall at all times remain the exclusive property of The IFA. Unauthorized use of the IFA’s intellectual property could result in legal action.

Speaker Material
The IFA does not endorse or take responsibility for any claims, statements, or content shared by the speakers in their materials. Attendees should exercise their own judgment and discretion when considering the information provided by speakers, and are encouraged to seek professional advice or consult additional sources if needed. The inclusion of any materials or handouts in the Conference does not constitute an endorsement or approval by IFA. Any reliance on the information provided in these materials is at the attendee's own risk. IFA disclaims any liability for the accuracy, completeness, or suitability of the information presented in the speaker's materials. The opinions expressed by speakers are their own and do not necessarily reflect the view of the IFA.

Disclaimer of Warranties, Limitation of Liability
The IFA gives no warranties in respect of any aspect of the Conference or any materials related thereto or offered at the Conference and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Conference is provided on an “as-is” basis. The Conference does not accept any responsibility or liability for reliance by you or any person on any aspect of the Conference or any information provided at the Conference.

Except as required by law, the IFA shall not be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Conference or other aspect related thereto or in connection with this Agreement. The maximum aggregate liability of the IFA for any claim in any way connected with, or arising from, the Conference or this Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), shall be limited to the amount paid by you to the IFA under this Agreement.
 
Attendee Requirements
Your registration entitles you only to admittance to the Conference. All other costs associated with your attendance (e.g., travel and accommodation expenses) shall be borne solely by you, and the IFA shall have no liability for such costs. The IFA, in its sole discretion, reserves the right to change any and all aspects of the Conference, including but not limited to, the Conference name, themes, content, program, speakers, moderators, venue and time.

At time of check in, you may be asked to provide a form of photo identification. Attendee badges must be worn at all times in Conference areas.

It is solely your responsibility to comply with any government visa requirements and failure to do so does not constitute a basis for a refund.

Although every effort is made to ensure that the material related to Conference, such as maps, agendas, programs, etc. are distributed to all attendees, IFA does not guarantee a copy of such materials to every attendee.

IFA reserves the right, in its sole discretion, to (i) refuse to accept or to retain any person as a registrant of the Conference, at any time in its sole discretion, and (ii) make such alterations to the program, or any part of it, in any manner and at any time as it deems necessary or desirable.

You agree you have been fully informed of your consent, waiver of liability, and release before participating in the IFA Conference.

Attendee Assumption of Risk
Attendee assumes all risks and accepts sole responsibility for any injury (including, but not limited to, personal injury, disability, and death), illness, damage, loss, claim, liability, or expense, of any kind, that attendee may experience or incur in connection with attending the Conference. Attendee hereby releases, covenants not to sue, discharges, and holds harmless the IFA, its employees, agents, and representatives, of and from any such claims, including all liabilities, claims, actions, damages, costs, or expenses of any kind arising out of or relating thereto.

Specifically relating to COVID and other infections, attendee acknowledges the highly contagious nature of these diseases and voluntarily assumes the risk of exposure or infection by attending the Conference, and that such exposure or infection may result in personal injury, illness, disability, and/or death to attendee. Attendee understands that the risk of becoming exposed to or infected by COVID or another illness at the Conference may result from the actions, omissions, or negligence of others who may attend the Conference or their families, colleagues, or others with whom they may have contact. Accordingly, attendee understands and agrees that this release includes any claims based on the actions, omissions, or negligence of the IFA, its employees, agents, and representatives, whether a COVID or another infection occurs before, during, or after participation in the Conference.

In addition to all other rules and regulations relating to the attendee’s attendance at the Conference, attendee agrees to comply with all COVID-related procedures that may be implemented by the IFA and the venue, including, but not limited to, mask-wearing and social distancing requirements and restrictions on certain activities that carry higher COVID-related risk, in order to protect as much as possible the health and safety of all Conference attendees.

Damage to Function Space and Hotel Rooms
Attendee acknowledges that it may be held liable for any personal injuries and/or property damage caused by the attendee during the Conference or by other occupants or guests using attendee’s guest room at the hotel. To the fullest extent of the law, attendee hereby expressly releases, indemnifies and holds harmless IFA, its employees, officers and affiliates, for any injuries, damages, claims, costs, and attorneys’ fees caused by any damage that attendee is held accountable for whether in the function space, guest rooms or in the public areas of the hotel.  
 
Miscellanous
The IFA’s failure to exercise any right shall not be deemed a waiver of any further rights. The IFA shall not be liable for any failure to perform its obligations where such failure results from any cause beyond The IFA’s reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary for this Agreement to otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by you except with the IFA’s prior written consent. This Agreement shall be governed by the internal laws of the state of Alabama and the parties shall submit to the exclusive jurisdiction of the state courts located in the state of Alabama. A party that substantially prevails in an action brought under this Agreement is entitled to recover from the other party its reasonable attorneys’ fees and costs. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you acknowledge that you do not have any authority of any kind to bind the IFA in any respect whatsoever.

Cancellations, Substitutions and Lost Badge Policy
Health related cancellations received on or before April 1, 2025 will be issued a full refund. Health related cancellations received between April 2, 2025, and April 30, 2025, will be issued a full account credit. Documented health related cancellations received 7 days or less before the conference will be issued an account credit minus a 10% penalty. Non-health related cancellations for attendance received on or before March 1, 2025, will be charged a 10% penalty. Non-health related cancellations for attendance received between March 2, 2025 and April 1, 2025, will be charged a 20% penalty. No refunds will be given after this date for non-health related cancellations. Unused account credits after two years will be forfeited and considered contributions to the organization.

If you are unable to attend the Conference we welcome substitute attendees attending in your place at no extra cost. 
 
Badge Issuance. Once you have received your badge on site, it cannot be changed, substituted or reissued to a different person.
